Terms of Use

Nuan is an AI-powered communication coaching product.

Nuan may provide features such as:

• real-time communication cues
• conversation transcription
• communication insights
• post-call analysis
• Thought Cue suggestions
• meeting-related functionality
• communication recommendations

Nuan provides assistive information and suggestions. You remain responsible for your communications, decisions, statements, and actions.

You must be legally capable of entering into these Terms.

If you use Nuan on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for:

• providing accurate account information
• keeping your credentials secure
• activity performed through your account
• promptly notifying us of suspected unauthorized access

You may not sell, transfer, or improperly share access to your Nuan account.

Your Nuan account is identified internally through account identifiers and is not dependent solely on your email address.

Eligible users may receive a limited promotional trial.

Unless otherwise stated in the applicable offer, Nuan’s promotional trial may be limited by:

• a maximum number of coaching sessions, and/or
• a maximum time period

Current promotional terms may be displayed in the product or on nuan.space.

We may use reasonable anti-abuse measures to enforce promotional eligibility.

Promotional offers may be modified or discontinued for future users at any time.

Nuan currently offers paid plans including Nuan Basic and Nuan Premium.

Pricing, included usage, billing intervals, and features are displayed at the time of purchase.

Plans may be offered on:

• monthly billing
• annual billing

When selecting an annual plan, the full annual amount may be charged upfront.

Any promotional bonus period, discount, or additional access period will be shown before purchase.

Payments are processed by Stripe.

By purchasing a recurring subscription, you authorize Stripe and Nuan to charge your selected payment method according to the billing terms shown at checkout.

Monthly subscriptions automatically renew monthly unless canceled.

Annual subscriptions automatically renew according to the renewal schedule shown at checkout and in your account.

If an introductory or promotional period modifies the first renewal date, the actual renewal date shown in your Nuan account and/or Stripe billing interface governs.

You may cancel automatic renewal through the available billing-management experience.

Unless otherwise stated:

• cancellation affects future renewal
• access generally continues through the end of the period already paid for
• cancellation does not ordinarily result in an automatic prorated refund

If you cancel while using promotional access that has not yet resulted in a charge, cancellation rules displayed at the time will apply.

Except where required by law or expressly stated otherwise, subscription payments are generally non-refundable after the applicable service period begins.

If you believe you were incorrectly charged, contact us at contact@nuan.space.

If a recurring payment fails, we may:

• retry the payment
• notify you
• limit paid features
• suspend subscription entitlements
• cancel the subscription

You may retain access to certain account information or historical content even when active coaching features are unavailable.

You may delete your Nuan account where this functionality is available.

Deleting an account may permanently remove associated profile and product information.

If an active subscription exists, deletion may cancel future subscription renewal or otherwise terminate the billing relationship as described during the deletion process.

After deletion, you may be permitted to create another Nuan account using the same email address. A recreated account is considered a new account for onboarding and account-data purposes.

However, deleting your account does not necessarily restore eligibility for previously redeemed promotional offers.

You are responsible for complying with all laws governing recording, transcription, monitoring, or processing of conversations.

Depending on where participants are located, the law may require consent from one participant, all participants, or another form of disclosure.

Nuan uses artificial intelligence and automated systems.

AI-generated suggestions may:

• be incomplete
• be inaccurate
• misunderstand context
• produce inappropriate recommendations

You may not use Nuan to:

• violate applicable law
• infringe another person’s rights
• unlawfully record or intercept communications
• harass, threaten, impersonate, or deceive others
• distribute malware or malicious software
• attempt unauthorized access to Nuan systems
• bypass subscription or usage limitations
• exploit promotional offers through deceptive account creation
• reverse engineer Nuan except where permitted by applicable law
• interfere with or disrupt Nuan infrastructure

You retain ownership of content you provide to Nuan.

You grant Nuan a limited right to process your content as necessary to:

• operate the service
• generate requested features and insights
• maintain security
• provide support
• comply with applicable law

This does not transfer ownership of your content to Nuan.

Subject to these Terms, Day0 Labs grants you a limited, revocable, non-exclusive, non-transferable license to install and use Nuan for its intended purpose.

Nuan and its software, designs, trademarks, interfaces, and technology remain owned by Day0 Labs or its licensors.

Nuan may integrate with or rely on third-party services such as payment processors, authentication providers, AI providers, transcription providers, cloud infrastructure, email providers, and calendar platforms.

We are not responsible for third-party services outside our control.

Your use of those services may also be subject to their own terms and privacy policies.

Nuan is an evolving product.

We may:

• add or remove features
• modify usage limits
• modify subscription offerings for future periods
• update software
• discontinue integrations
• perform maintenance

We will not intentionally alter already-paid billing terms retroactively except where permitted by law or agreed with you.

Some features may be labeled beta, preview, experimental, or pre-release.

These features may:

• contain bugs
• change substantially
• be discontinued
• be less reliable than generally available features

Use of such functionality is at your discretion.

To the maximum extent permitted by applicable law, Nuan is provided “as is” and “as available.”

We do not guarantee that:

• Nuan will always be available
• transcripts will be perfectly accurate
• AI suggestions will always be correct
• the service will be error-free
• every communication outcome will improve

To the maximum extent permitted by applicable law, Day0 Labs LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of Nuan.

Where liability cannot legally be excluded, liability will be limited to the extent permitted by applicable law.

To the extent permitted by law, you agree to indemnify and hold harmless Day0 Labs LLC from claims arising from:

• your misuse of Nuan
• your violation of these Terms
• your violation of applicable recording or privacy laws
• infringement of another person’s rights

We may suspend or terminate access where reasonably necessary because of:

• violation of these Terms
• fraud or abuse
• security threats
• non-payment
• legal requirements

You may stop using Nuan at any time.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

We may update these Terms from time to time.

Material changes may be communicated through the website, application, email, or another appropriate method.

Continued use after updated Terms become effective constitutes acceptance where permitted by law.
